Company Formations are regulated by Chapter 386 of the laws of Malta, and which is mainly based on UK law and EU Directives. There are various types of commercial partnerships that can be incorporated under Maltese law. The most common form of Business entity in Malta is the Limited Liability Company. Such a company can be either Private or Public.
A private company cannot have more than 50 members and there cannot be an invitation to the public to subscribe for any shares. Inaddition transfer of shares is also restricted. The validity of such a Company ensues once a Memorandum and Articles of Association is subscribed to by at least two (2) people and a certificate of incorporation is issued by the Registrar of Companies.
Under Maltese legislation one can also incorporate a Partnership En Nom Collectif and En Commandite. In the case of En Nom Collectif obligations are guaranteed by the unlimited, joint and several liability of all the partners. In the case of En Commandite obligations are guaranteed by the unlimited, joint and several liability of at least one general partner of the company
The Malta Financial Services Authority (MFSA) is the Single regulator for Finanical Services in Malta. Financial Services include, Credit institutions, financial and electronic money institutions, securities and investment services companies, regulated markets, insurance companies, pension schemes and trustees. The MFSA also manages the Registry of Companies and has been appointed as the the Listing Authority.
